Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you ("Customer") and Lumea di Georgiana Huides ("HailAPI", "we"), Via Ofanto 26L, 00071 Pomezia (RM), Italy — P.IVA: IT18023211008, PEC: georgiana.huides@pec.it.

By creating an account or using the HailAPI platform, API, SDK, or documentation (the "Service"), you agree to these Terms. If acting on behalf of a company, you represent authority to bind that entity.

We may modify these Terms with notice. Continued use constitutes acceptance of changes.

2. Description of the Service

HailAPI provides an AI-powered API for automated hail damage detection on vehicles. The Service includes:

• API Access — RESTful endpoints for image analysis
• SDK — Official client library (@hailapi/client) on npm
• Dashboard — Account, API keys, credits, and usage management
• Documentation — Integration guides at hailapi.com/docs

3. Account and API Keys

You must provide accurate registration information and keep it current. You are responsible for all activity under your account.

API key types:

• Secret Keys (hail_live_) — server-side only, never expose publicly
• Publishable Keys (hail_pub_) — client-side, restricted by origin domain

You must notify us immediately at support@hailapi.com if you suspect unauthorized use. We are not liable for losses from compromised credentials.

4. API Usage and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business purposes.

Rate limits are enforced per API key. We may adjust limits at any time.

Prohibited Uses

You agree not to:

• Reverse engineer, decompile, or derive source code or models from the Service
• Build a competing product or benchmark competitively without consent
• Resell or redistribute raw API access
• Circumvent rate limits, authentication, or technical restrictions
• Share, sell, or transfer API keys
• Submit illegal content or content unrelated to vehicle damage
• Misrepresent Output as a professional, certified, or legally binding assessment
• Overburden infrastructure or interfere with other customers

Images must be JPEG, PNG, or WebP, max 10 MB.

5. Payments, Credits, and Refunds

5.1 Prepaid Credits

The Service uses a pay-as-you-go credit system. Each scan deducts credits at the published rate (currently $0.15/scan). We may change pricing with 30 days' notice.

5.2 Payment Processing

Payments are processed by Paddle.com Market Limited (Merchant of Record). Paddle is the authorized reseller and billing entity for all HailAPI transactions. By purchasing, you also agree to Paddle's Checkout Buyer Terms.

5.3 Credits

• Non-transferable between accounts
• Non-refundable except as below
• Non-expiring — credits remain in your account indefinitely

5.4 Refunds

6. Intellectual Property

The Service, models, algorithms, and documentation remain our exclusive property. You retain all rights to images you submit. Output (detection results) is provided for your use in your applications.

If you provide feedback or suggestions, you grant us an unrestricted, royalty-free license to use them.

7. Data and Privacy

Images are processed in memory and not stored after processing. Account and usage data is handled per our Privacy Policy. We comply with GDPR. A Data Processing Agreement is available for enterprise customers.

8. AI Disclaimer

AI models are inherently probabilistic. Results may be inaccurate due to image quality, lighting, angle, vehicle color, or other factors. Output must be reviewed by qualified professionals before reliance for insurance claims, repair estimates, or legal proceedings.

We disclaim all liability for errors in Output and for decisions made based on Output.

9. Service Availability

The Service is provided "as is" and "as available". We do not guarantee specific uptime. Uptime figures in marketing materials are targets, not contractual commitments. We may suspend the Service for maintenance with reasonable notice when practicable.

11. Limitation of Liability

Nothing in these Terms excludes or limits our liability for willful misconduct (dolo), gross negligence (colpa grave), death or personal injury from negligence, fraud, or any liability that cannot be excluded under Italian law (Art. 1229 Codice Civile) or EU law.

12. Indemnification

You agree to indemnify and hold harmless Lumea di Georgiana Huides from claims arising from: your use of the Service in violation of these Terms, your violation of law or third-party rights, misrepresentation of Output as definitive assessment, or failure to secure credentials.

13. Termination

You may terminate your account at any time via the dashboard or support@hailapi.com. We may suspend or terminate for breach, fraud, non-payment, or Service discontinuation. Upon termination, your license ceases, unused credits are forfeited (except where prohibited by law), and outstanding payments remain due.

14. Governing Law

These Terms are governed by Italian law. Disputes are subject to the exclusive jurisdiction of the courts of Roma, Italy.

EU consumers retain protections under their country of residence. ODR platform: ec.europa.eu/consumers/odr.

Before legal proceedings, both parties agree to attempt informal resolution (support@hailapi.com, 30-day response window).

15. General

• Entire Agreement — These Terms + Privacy Policy constitute the full agreement.
• Severability — Invalid provisions are enforced to maximum extent; remainder continues.
• Assignment — You may not assign without consent. We may assign freely.
• Force Majeure — We are not liable for failures beyond reasonable control.
